Prior to developing and recommending any business
strategy, we work closely with our clients to fully understand their
business and industry, and to determine and articulate their goals
and the time frame for achieving them. Knox & Co. officers recognize
that the quality and value of our counsel are intimately linked
to how informed we are and how accurately and perceptively we understand
and evaluate each clients’ unique situation. The M&A process
is a cooperative one and must rely on the compatibility and commitment
of both Knox & Co. and our clients.
Because each assignment is time and people intensive, we undertake
only a limited number of engagements at any one time. Generally
two senior officers are assigned to each engagement; each client
is assured of not only attention and coverage at all times, but
is also able to draw upon the expertise and experience of our professionals
in a wide variety of transactions and industries.
We understand that the owners of private companies usually have
a significant portion of their net worth invested in the business,
and we are committed to maximizing the realization of that value.
We also understand other underlying issues confronting the seller
of a privately-held business: the commitment to long time employees,
issues of family succession and job preservation, and the frequent
desire to remain active in management at least during the transition
from one owner to the next. Because of our experience in structuring
many of these transactions for foreign and particularly Asian buyers
(for whom smooth transitions are a priority), Knox & Co. is
particularly sensitive to resolving these concerns and experienced
in negotiating appropriate solutions.
